Preamble
This Vendor Agreement (“Agreement”) is entered into between Gunnison Gear LLC, a Missouri limited liability company doing business as Off Trail Market (“OTM,” “we,” “us,” or “our”) and the individual or business entity that accepts this Agreement during the vendor onboarding process (“Vendor,” “you,” or “your”).
This Agreement, together with the Off Trail Market Terms of Service and Privacy Policy (each incorporated herein by reference), governs your access to and use of the Off Trail Market vendor platform at offtrailmarket.com (the “Platform”) for the purpose of listing and selling products and/or services.
By completing the vendor onboarding process and clicking to accept this Agreement, you represent that you have the legal authority to bind yourself or your business to these terms, and that you agree to be bound by this Agreement in its entirety.
1. Vendor Eligibility and Onboarding
1.1 Eligibility Requirements
To become and remain a vendor on the Platform, you must:
- Be at least 18 years of age and have the legal capacity to enter into a binding contract.
- Operate as a legitimate individual seller, sole proprietor, LLC, corporation, or other legally recognized business entity.
- Provide a valid Employer Identification Number (EIN) or Social Security Number (SSN) as required by Stripe for payment processing and tax reporting purposes.
- Complete all required onboarding steps, including Stripe Connect account setup, shop profile creation, and acceptance of this Agreement.
- Comply with all applicable federal, state, and local laws governing the sale of your products or services.
- Not be prohibited from selling on the Platform under any applicable law or prior agreement with Off Trail Market.
1.2 Application and Approval
Submission of a vendor application does not guarantee approval. Off Trail Market reserves the right to approve or reject any vendor application at its sole discretion, without obligation to provide a reason. Off Trail Market also reserves the right to revoke vendor status at any time for violations of this Agreement, the Terms of Service, or our Acceptable Use Policy.
1.3 Vendor Categories
Vendors are enrolled under one or more of the following Platform sections based on the nature of their offerings:
- Gear Shop: Vendors selling outdoor gear, equipment, and accessories.
- Makers Market: Vendors selling handmade, small-batch, or artisan goods.
- The Outfitter: Service providers offering guided experiences, trips, or outdoor services booked through the Platform.
Vendors operating under The Outfitter are subject to the additional terms set forth in Section 11 of this Agreement.
2. Vendor Account and Shop
2.1 Shop Setup
Upon approval, you will be provided access to a vendor dashboard through which you may create and manage your shop profile, listings, pricing, and order fulfillment. You are responsible for maintaining accurate and complete shop information at all times, including:
- Shop name and branding.
- Contact information and response policies.
- Shipping and processing time disclosures.
Return and refund policy (see Section 7).
2.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your vendor account. You agree to notify Off Trail Market immediately at Admin@OffTrailMarket.com if you suspect any unauthorized use of your account.
2.3 One Account Per Vendor
Each vendor may operate only one active shop on the Platform unless Off Trail Market expressly authorizes additional shops in writing. Operating multiple accounts to circumvent restrictions or reviews is grounds for immediate termination.
3. Listings and Product Standards
3.1 Listing Requirements
All product listings must:
- Accurately describe the item, including materials, dimensions, condition, and any relevant specifications.
- Include clear, original photographs that accurately represent the item being sold.
- Be categorized correctly within the Platform’s taxonomy.
- Include accurate pricing in U.S. dollars.
- Accurately represent inventory availability. Vendors must promptly remove or update listings for out-of-stock items.
3.2 Product Approval Workflow
New vendors are subject to an initial product review period. During this period, your first listings must be approved by Off Trail Market before they are published to the Platform. Following satisfactory completion of the initial review period, subsequent listings may be published without prior review, subject to Off Trail Market’s ongoing right to review, flag, and remove any listing at any time.
3.3 Prohibited Listings
You may not list or sell any of the following on the Platform:
- Items that are illegal to sell under applicable federal, state, or local law.
- Firearms, ammunition, firearm frames or receivers, suppressors, silencers, short-barreled rifles, short-barreled shotguns, machine guns, or any other item regulated under the National Firearms Act or that requires a federal firearms license (FFL) or equivalent for transfer or sale. This prohibition applies regardless of vendor licensing status and admits no exceptions. Non-regulated firearm accessories — including optics, scopes, slings, cleaning supplies, storage cases, and similar items that are not themselves firearms, firearm components, or regulated under federal firearms law — are permitted subject to all other Platform policies.
- Counterfeit, stolen, or unlicensed goods of any kind.
- Items that infringe on any third-party patent, trademark, copyright, or other intellectual property right.
- Items that are falsely described or materially misrepresented.
- Items prohibited under Off Trail Market’s Acceptable Use Policy, as updated from time to time.
Off Trail Market reserves the right to update the list of prohibited items at any time. Continued listing of prohibited items after notice may result in immediate suspension or termination.
3.4 Vendor Responsibility for Listings
You are solely responsible for the accuracy, legality, and appropriateness of all content you submit to the Platform, including product descriptions, photographs, and pricing. Off Trail Market does not pre-screen all listings and is not responsible for errors, omissions, or violations contained in vendor-submitted content.
4. Fees, Commissions, and Payment
4.1 Commission Structure
Off Trail Market charges a commission on each completed sale made through the Platform. The applicable commission rate is:
Standard Commission Rate: 15% of the order subtotal (excluding shipping charges and applicable taxes).
Commission is calculated on the item sale price after any discounts applied at checkout and before shipping or tax charges.
4.2 Early Vendor Commission Period
Off Trail Market may, at its discretion, offer qualifying early vendors a reduced commission rate of 0% for an introductory period (“Early Vendor Period”). The duration and terms of any Early Vendor Period will be specified in writing at the time of vendor approval or in a separate addendum to this Agreement. Off Trail Market reserves the right to transition vendors to the standard commission rate upon reasonable advance notice at the conclusion of the Early Vendor Period.
4.3 Additional Fees
Off Trail Market may charge additional fees for optional services, including but not limited to:
- Featured vendor placement or promotional visibility.
- Platform-generated shipping labels (where applicable and at the vendor’s election).
- Future value-added services such as professional photography, fulfillment assistance, or marketing support.
Any applicable additional fees will be disclosed in advance and require vendor consent before charges are applied.
4.4 Payment Processing
All payments on the Platform are processed through Stripe Connect. By enrolling as a vendor, you agree to Stripe’s Connected Account Agreement and Terms of Service, which govern how funds are collected, held, and disbursed. Off Trail Market does not hold vendor funds outside of the Stripe Connect framework.
Off Trail Market’s commission and any applicable fees are deducted from the transaction proceeds before disbursement to the vendor. Vendors receive the net amount after deductions.
4.5 Payout Schedule
Vendor payouts are processed on a bi-weekly basis, subject to Stripe’s standard processing timelines and any applicable hold periods. Off Trail Market reserves the right to place holds on payouts in the event of open disputes, suspected fraud, excessive chargebacks, or other risk indicators, and will notify the vendor promptly in such cases.
4.6 Taxes
Vendors are solely responsible for determining, collecting, and remitting all applicable taxes on their sales, including income tax, sales tax, and any other taxes required by law. Off Trail Market may collect and remit sales tax on vendor sales where required by applicable marketplace facilitator laws. Off Trail Market will provide vendors with annual 1099-K forms as required by applicable tax law. Vendors should consult a qualified tax advisor regarding their specific tax obligations.
5. Shipping and Order Fulfillment
5.1 Vendor Fulfillment Responsibility
Vendors are responsible for fulfilling all orders in accordance with the processing times disclosed in their shop profile. You agree to:
- Ship orders within your stated processing window.
- Provide accurate tracking information for all shipments.
- Package items securely and appropriately for the shipping method selected.
- Update your shop’s processing times promptly if fulfillment timelines change.
You must have a reasonable basis for any processing time, ship-by date, or delivery estimate you state in your shop profile or product listings. Processing times must reflect your actual fulfillment capacity and must be kept current. Overstating processing speed to improve listing performance is a violation of this Agreement.
If you cannot ship an order within your stated processing window for any reason, you must: (a) promptly notify the buyer through the Platform’s messaging system and notify Off Trail Market; (b) provide a specific revised shipment date; and (c) offer the buyer the right to cancel the order for a full refund, including any shipping charges paid. The buyer’s right to cancel exists regardless of your shop’s standard return or cancellation policy.
If your revised shipment date would result in a delay exceeding 30 days from the original ship-by date, if the revised date is indefinite, or if this is a second or subsequent delay on the same order, you must obtain the buyer’s affirmative consent before proceeding with fulfillment. If the buyer does not affirmatively consent, or cannot be reached within 5 business days, you must cancel the order and issue a full refund promptly. Failure to comply with these delay-notice obligations may result in Off Trail Market issuing a refund directly from funds held or owed to you.
5.2 Hybrid Shipping Model
Off Trail Market operates a hybrid shipping model. Depending on configuration and vendor preference, shipping labels may be:
- Generated by the vendor using the vendor’s own carrier accounts.
- Generated by Off Trail Market through our shipping integration (Shippo) and made available for vendor use, in which case a shipping fee will be applied to the transaction.
Vendors acknowledge that Off Trail Market may apply a shipping markup to platform-generated labels as a component of the Platform’s revenue model. This markup is incorporated into the shipping rate presented to buyers at checkout.
5.3 Split Shipments
When a buyer purchases items from multiple vendors in a single transaction, orders are fulfilled independently by each vendor. Vendors are responsible only for their portion of any multi-vendor order.
5.4 Shipping Accuracy
Vendors are responsible for accurately estimating and configuring shipping costs within the Platform. Off Trail Market is not responsible for losses incurred by vendors as a result of underpriced or incorrectly configured shipping rates.
5.5 Lost or Damaged Shipments
Once a shipment has been tendered to the carrier and tracking has been provided, primary responsibility for delivery rests with the carrier. Vendors are encouraged to purchase appropriate shipping insurance for high-value items. Off Trail Market is not liable for packages lost or damaged in transit due to carrier handling. However, carrier tender does not eliminate your obligations to buyers under Section 7 of this Agreement. Specifically: damage resulting from inadequate vendor packaging remains your financial responsibility regardless of carrier involvement; and if a shipment is confirmed lost and the carrier cannot locate or deliver the package, you are responsible for either reshipping the order or issuing a full refund to the buyer, at your election. These obligations exist independently of any carrier insurance claim you may file, and are not contingent on the outcome of such a claim.
6. Order Management and Communication
6.1 Order Acceptance
By listing an item on the Platform, you represent your willingness and ability to fulfill orders for that item. Repeated order cancellations or failure to fulfill confirmed orders may result in account suspension or termination.
6.2 Buyer Communication
Vendors are expected to respond to buyer inquiries and messages within 48 hours during normal business days. All buyer communication must be conducted through the Platform’s messaging system. Vendors may not solicit buyers to transact outside the Platform.
6.3 Order Cancellations
If you are unable to fulfill an order after it has been placed, you must notify the buyer and Off Trail Market promptly. Excessive cancellations are subject to review and may result in account action. Refunds resulting from vendor-initiated cancellations are processed in full to the buyer.
7. Returns, Refunds, and Disputes
7.1 Vendor Return Policy
Each vendor must establish and clearly disclose a return and refund policy within their shop profile. Your policy must at minimum specify:
- Whether returns are accepted and the conditions under which they are permitted.
- The timeframe within which return requests must be initiated by the buyer.
- Who is responsible for return shipping costs.
- How and when refunds are issued.
7.2 Platform Minimum Standards
Regardless of individual vendor policy, Off Trail Market requires vendors to:
- Accept returns for items that are materially not as described.
- Accept returns for items that arrive damaged due to vendor packaging failures.
- Process eligible refunds within 5 business days of receiving a returned item.
7.3 Dispute Resolution
If a buyer opens a dispute regarding an order, Off Trail Market may require the vendor to provide documentation, including tracking information, photographs, and communications. Off Trail Market reserves the right, but not the obligation, to facilitate resolution between the buyer and vendor. In cases where Off Trail Market determines that a vendor has failed to fulfill their obligations under this Agreement, Off Trail Market may issue a refund to the buyer from funds held or owed to the vendor.
7.4 Chargebacks
In the event of a payment chargeback initiated by a buyer’s financial institution, Off Trail Market will notify the vendor and may request documentation to contest the chargeback. Vendors acknowledge that chargeback liability rests with the vendor in cases where the vendor failed to fulfill the order as described. Repeated chargebacks may result in account review or termination.
8. Vendor Conduct and Compliance
8.1 Legal Compliance
Vendors are solely responsible for ensuring that all products listed and sold on the Platform comply with applicable federal, state, and local laws and regulations, including but not limited to:
- Consumer product safety regulations and labeling requirements.
- Licensing and permit requirements for regulated product categories.
- Export control and import regulations.
- Advertising and consumer protection laws.
- Any product-specific legal requirements (e.g., hunting regulations, knife laws by jurisdiction).
U.S. sanctions laws and regulations, including those administered by the Office of Foreign Assets Control (OFAC). Vendors may not list, sell, or ship products to any person, entity, or region subject to U.S. economic or trade sanctions. Off Trail Market reserves the right to cancel, suspend, or terminate any transaction or account where sanctions compliance cannot be confirmed. Vendors are solely responsible for screening their own transactions against applicable sanctions lists.
Marketplace seller transparency requirements under applicable law, including the INFORM Consumers Act (15 U.S.C. § 45f) where applicable. Vendors agree to provide accurate identity, contact, and banking information during onboarding and to keep that information current. Off Trail Market may collect, verify, and disclose certain seller identity and contact information as required by law, and will maintain a mechanism on the Platform for reporting suspicious activity on listings. Vendors who meet or approach high-volume seller thresholds as defined by applicable law will be notified of any additional disclosure obligations.
8.2 Prohibited Conduct
Vendors agree not to:
- Misrepresent products, pricing, or availability in any way.
- Solicit buyers to transact outside the Platform for the purpose of avoiding Platform fees.
- Post fake or incentivized reviews.
- Engage in any form of price manipulation or collusion.
- Use the Platform to promote or sell products through channels outside the Platform without OTM’s express permission.
- Harass, threaten, or engage in abusive conduct toward buyers, other vendors, or Off Trail Market staff.
8.3 Intellectual Property
Vendors represent and warrant that they own or have the right to use all content submitted to the Platform, including product photographs, descriptions, and branding. Vendors may not list items that infringe any third-party intellectual property rights. Off Trail Market will respond to valid intellectual property complaints in accordance with the Digital Millennium Copyright Act (DMCA) and other applicable law. The Platform’s full DMCA notice and counter-notice procedures, designated agent contact information, and repeat-infringer termination policy are set forth in Section 9.3 of the Terms of Service, which is incorporated herein by reference. Vendors acknowledge that repeated intellectual property violations are grounds for suspension or permanent termination of their vendor account.
9. Vendor Content and Licensing
9.1 Ownership
Vendors retain ownership of all original content they submit to the Platform, including photographs, product descriptions, and shop branding.
9.2 License Grant to Off Trail Market
By submitting content to the Platform, you grant Off Trail Market a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, display, distribute, and promote that content for the purpose of operating, marketing, and improving the Platform. This includes use of your product images and shop content in Off Trail Market marketing materials, social media, and promotional campaigns. This license remains in effect for the duration of your vendor relationship with Off Trail Market and with respect to existing promotional materials for a reasonable period after termination.
10. Term, Suspension, and Termination
10.1 Term
This Agreement is effective upon your acceptance during onboarding and continues until terminated by either party as provided herein.
10.2 Termination by Vendor
You may terminate your vendor account at any time by contacting Off Trail Market at Admin@OffTrailMarket.com and requesting account closure. You remain responsible for fulfilling all open orders at the time of termination. Termination does not entitle you to a refund of any fees already paid.
10.3 Termination or Suspension by Off Trail Market
Off Trail Market may suspend or terminate your vendor account at any time, with or without cause, including for:
- Violation of this Agreement, the Terms of Service, or the Acceptable Use Policy.
- Fraudulent, deceptive, or harmful activity.
- Excessive buyer complaints, disputes, or chargebacks.
- Failure to fulfill orders or respond to buyers in a timely manner.
- Extended account inactivity.
- Any other conduct that Off Trail Market determines, in its sole discretion, to be harmful to buyers, other vendors, or the Platform.
For serious violations, Off Trail Market may terminate immediately without prior notice. For less serious violations, Off Trail Market will generally provide notice and an opportunity to cure before taking action.
10.4 Effect of Termination
Upon termination, your right to access the vendor dashboard and list new products ceases immediately. You remain responsible for fulfilling any open orders at the time of termination. Off Trail Market will process final payouts for completed transactions after deducting any outstanding fees, chargebacks, or amounts owed under this Agreement. Content you submitted to the Platform may be retained by Off Trail Market as permitted by the Terms of Service.
11. The Outfitter -- Additional Terms for Service Vendors
This section applies only to vendors offering bookable services through The Outfitter section of the Platform. If you are selling physical products only through the Gear Shop or Makers Market, this section does not apply to you.
11.1 Service Vendor Eligibility
To list services through The Outfitter, you must:
- Hold all required federal, state, and local licenses and permits for the services you offer, including any outfitter, guide, or operator licenses required by your jurisdiction.
- Maintain adequate liability insurance coverage appropriate to the nature of your services. Off Trail Market may require proof of insurance coverage as a condition of listing.
- Comply with all applicable safety regulations governing your services and activities.
11.2 Booking Listings
Service listings through The Outfitter must accurately disclose:
- A clear description of the experience, trip, or service offered.
- Pricing, including what is and is not included.
- Capacity limits and group size restrictions.
- Duration, dates, and availability.
- Physical requirements or prerequisites for participants.
- Deposit requirements and payment schedule.
- Cancellation and refund policy.
Any liability waivers or assumption of risk acknowledgments required of participants.
11.3 Deposits and Payments
Service vendors may collect deposits at the time of booking in accordance with their disclosed booking policy. Deposits and final payments are processed through Stripe Connect. Refund eligibility for deposits is governed by the service vendor’s disclosed cancellation policy, subject to Off Trail Market’s minimum platform standards.
11.4 Cancellations by Vendor
If a service vendor cancels a booked experience, the vendor must notify affected buyers promptly and process full refunds of all amounts paid, including deposits. Repeated cancellations by service vendors may result in suspension from The Outfitter.
11.5 Safety and Liability
Service vendors are solely responsible for the safety of participants in their experiences. Off Trail Market does not organize, supervise, or participate in any experience offered through The Outfitter. By offering services on the Platform, you agree to indemnify, defend, and hold harmless Off Trail Market from any claims, damages, or liabilities arising from your services, including personal injury, property damage, or death of participants.
12. Representations and Warranties
You represent and warrant to Off Trail Market that:
- You have the full legal right and authority to enter into this Agreement and to sell the products or services listed on the Platform.
- All information provided during onboarding and in your shop profile is accurate and complete.
- All products and services you offer comply with applicable law.
- You hold all licenses, permits, and authorizations required to sell your products or offer your services.
- Your products and listings do not infringe the intellectual property rights of any third party.
- You will comply with all applicable tax obligations arising from your sales on the Platform.
13. Indemnification
You agree to indemnify, defend, and hold harmless Off Trail Market and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney’s fees) arising out of or related to:
- Your use of the Platform or vendor dashboard.
- Your products or services, including any product liability claims.
- Your violation of this Agreement, the Terms of Service, or applicable law.
- Any buyer dispute, chargeback, or complaint arising from your transactions.
- Any claim that your content or listings infringe the rights of a third party.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OFF TRAIL MARKET SHALL NOT BE LIABLE TO VENDOR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST REVENUE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OFF TRAIL MARKET’S TOTAL LIABILITY TO VENDOR UNDER THIS AGREEMENT EXCEED THE TOTAL COMMISSIONS AND FEES PAID BY VENDOR TO OFF TRAIL MARKET IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Modifications to This Agreement
Off Trail Market reserves the right to modify this Agreement at any time. When material changes are made, Off Trail Market will notify vendors via email and/or through the vendor dashboard with reasonable advance notice prior to the effective date of the changes. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the updated Agreement.
If you do not agree to a modification, you may terminate your vendor account before the effective date of the change by contacting Off Trail Market at Admin@OffTrailMarket.com.
16. Governing Law and Dispute Resolution
16.1 Governing Law
This Agreement is governed by the laws of the State of Missouri, without regard to its conflict of law provisions.
16.2 Informal Resolution
Before initiating arbitration or any formal legal proceeding, the party asserting a dispute must send a written Notice of Dispute to the other party. Notices to Off Trail Market must be sent to Admin@OffTrailMarket.com and must include: (a) the vendor’s account name and contact information; (b) a clear description of the dispute and the specific relief sought; and (c) any supporting documentation. Off Trail Market will respond within 30 days of receiving a complete Notice of Dispute. The parties agree to negotiate in good faith during this period before proceeding to arbitration. Statutes of limitations applicable to any claim are tolled during the 30-day informal resolution period. No arbitration may be initiated until the 30-day period has concluded or the parties have agreed in writing that informal resolution has failed.
16.3 Arbitration
Any dispute arising out of or relating to this Agreement that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. For claims under $75,000, arbitration will be conducted on a documents-only or telephonic basis unless the arbitrator determines a hearing is necessary; any such hearing will be conducted by videoconference unless both parties agree otherwise. In-person hearings, if required by the arbitrator for larger claims, will be held in Rogersville, Missouri, or at another location mutually agreed upon by the parties.
16.4 Class Action Waiver
VENDOR AGREES THAT ANY DISPUTE MUST BE BROUGHT IN VENDOR’S INDIVIDUAL CAPACITY. VENDOR WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING AGAINST OFF TRAIL MARKET.
17. General Provisions
17.1 Independent Contractor
Vendor is an independent contractor and not an employee, agent, partner, or joint venturer of Off Trail Market. Nothing in this Agreement creates any employment, agency, or partnership relationship. Vendor is solely responsible for all employment, tax, and legal obligations related to their business operations.
17.2 Entire Agreement
This Agreement, together with the Off Trail Market Terms of Service, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings.
17.3 Severability
If any provision of this Agreement is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
17.4 Waiver
Failure by Off Trail Market to enforce any provision of this Agreement shall not constitute a waiver of the right to enforce that provision in the future.
17.5 Assignment
Vendor may not assign or transfer any rights or obligations under this Agreement without the prior written consent of Off Trail Market. Off Trail Market may assign this Agreement without restriction, including in connection with a merger, acquisition, or sale of assets.
17.6 Notices
Notices from Off Trail Market to vendors will be delivered to the email address on file with the vendor account. Notices from vendors to Off Trail Market should be sent to Admin@OffTrailMarket.com.

Acceptance and Electronic Agreement
By clicking “I Accept” or “I Agree” during the vendor onboarding process, you acknowledge that you have read, understood, and agree to be bound by this Vendor Agreement in its entirety.
